Terms of Service for Elite Asian Matchmaker

These Terms of Service ("Terms") govern your access to and use of EliteAsianMatchmaker.com (the "Website") and the matchmaking, consultation, coaching, introduction, membership, communication, and related services provided by Elite Asian Matchmaker ("Elite Asian Matchmaker," "we," "us," or "our").

Please read these Terms carefully. By accessing the Website, submitting an inquiry or application, scheduling a consultation, creating a profile, purchasing a service, or otherwise using our services, you agree to these Terms and our Privacy Policy.

If you enter into a separate written service agreement with Elite Asian Matchmaker, that agreement will also apply. If these Terms conflict with a signed service agreement, the signed service agreement will control regarding the specific services covered by it.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Website or our matchmaking services.

By using our services, you represent that:

• You are at least 18 years old;
• The information you provide is accurate and complete;
• You are legally permitted to participate in matchmaking and dating services;
• Your participation does not violate another agreement or legal obligation;
• You are not using the services for an unlawful, deceptive, abusive, or commercial purpose; and
• You will comply with these Terms and applicable laws.

We may request identification or other information to verify eligibility.

2. Nature of Our Services

Elite Asian Matchmaker provides personalised matchmaking, introductions, consultations, coaching, profile development, relationship-related guidance, and other related services.

The exact scope of services, membership period, fees, number of introductions, communication schedule, and other deliverables may be described in a proposal, order form, invoice, membership plan, or separate service agreement.

Elite Asian Matchmaker is not a dating application or public directory. Potential introductions are selected using professional judgment, information provided by clients, availability, preferences, compatibility considerations, and other relevant factors.

3. No Guarantee of a Match or Relationship Outcome

Matchmaking is subjective and depends on personal preferences, timing, availability, mutual interest, communication, behaviour, and circumstances outside our control.

Unless expressly stated in a signed written agreement, Elite Asian Matchmaker does not guarantee:

• A specific number of introductions;
• That an introduction will accept or continue communicating;
• That a match will meet every stated preference;
• That an introduction will result in a date;
• That a date will result in a relationship, engagement, marriage, or other outcome;
• That a potential match will behave in a particular manner; or
• That services will produce a particular personal or emotional result.

A decision not to proceed with an introduction does not necessarily indicate a defect in the services.

4. Applications and Acceptance

Submitting an inquiry, application, questionnaire, or consultation request does not guarantee acceptance as a client.

We may accept, decline, pause, or discontinue an application or client relationship based on factors including:

• Service availability;
• Compatibility with our service model;
• Geographic or preference limitations;
• Incomplete, inaccurate, or misleading information;
• Safety or conduct concerns;
• Failure to communicate or cooperate;
• Non-payment; or
• Any other legitimate business reason permitted by law.

We are not required to disclose confidential internal selection criteria or information concerning other clients.

5. Your Information and Responsibilities

You agree to provide accurate, current, and complete information.

You must promptly notify us of material changes concerning:

• Your relationship or marital status;
• Your availability to date;
• Your location;
• Your contact information;
• Your matchmaking preferences;
• Information contained in your profile;
• Legal restrictions affecting your participation; or
• Any circumstance that could create a safety concern for another person.

You are responsible for the consequences of inaccurate, incomplete, outdated, or misleading information.

You must not impersonate another person, submit another person's photographs without authorization, conceal a current marriage or relationship where relevant, or materially misrepresent your identity, background, intentions, age, occupation, or circumstances.

6. Profiles, Photographs, and Submitted Content

You retain ownership of photographs, biographies, testimonials, and other content you submit.

By providing content to Elite Asian Matchmaker, you grant us a limited, non-exclusive, royalty-free licence to store, reproduce, format, edit for clarity, and share that content solely as reasonably necessary to:

• Provide the requested services;
• Create or maintain your matchmaking profile;
• Present you to potential matches;
• Communicate with you;
• Maintain business and compliance records; and
• Operate and improve our services.

We will not publicly use your image, name, testimonial, or identifiable profile information for advertising without appropriate authorization.

You represent that you own or have permission to submit all content you provide and that the content does not violate another person's privacy, intellectual-property, publicity, or other rights.

7. Introductions and Confidentiality

Information provided about a potential match is private and confidential.

You agree that you will not, without authorization:

• Publish, post, distribute, or publicly discuss another client's profile;
• Share another client's photographs or contact information;
• Copy profile information into databases or social media;
• Use information about a match for advertising, solicitation, investigation, harassment, or commercial purposes;
• Contact a potential match through unrelated channels after being asked to stop;
• Record private communications without legally required consent; or
• Disclose sensitive information learned through an introduction.

Information provided about a potential match may be incomplete and is supplied for the limited purpose of evaluating a possible introduction.

8. Respectful and Lawful Conduct

You agree to treat our staff, clients, potential matches, vendors, and other users respectfully.

You may not use the Website or services to:

• Harass, threaten, intimidate, stalk, exploit, or harm another person;
• Engage in discriminatory, hateful, abusive, sexually explicit, or violent conduct;
• Solicit money, investments, gifts, employment, immigration assistance, or commercial opportunities from a match;
• Commit or attempt fraud, identity theft, extortion, or financial abuse;
• Send unsolicited advertising or spam;
• Collect information about others without authorization;
• Introduce malware, harmful code, or security threats;
• Circumvent Website or account security;
• Violate another person's privacy or intellectual-property rights; or
• Engage in conduct that is unlawful or inconsistent with the legitimate purpose of matchmaking.

We may immediately suspend or terminate services when we reasonably believe a person presents a safety, fraud, harassment, or reputational risk.

9. Personal Safety and Independent Judgment

You are responsible for exercising independent judgment before communicating with or meeting any person.

Reasonable safety precautions include:

• Meeting in a public place;
• Informing a trusted person of your plans;
• Arranging independent transportation;
• Protecting your home address, financial information, passwords, and identification documents;
• Avoiding transfers of money or valuable property;
• Reviewing information independently when appropriate; and
• Ending communication when you feel uncomfortable or unsafe.

Immediately contact appropriate emergency or law-enforcement services if you believe you are in danger.

You should promptly report significant safety concerns to Elite Asian Matchmaker. However, we are not an emergency-response, law-enforcement, mental-health, or investigative service.

10. Background and Identity Information

Elite Asian Matchmaker may request identification, references, public-record information, or other verification. However, unless expressly stated in a signed agreement, we do not guarantee that every client or potential match has undergone a comprehensive criminal, civil, financial, employment, identity, immigration, medical, or background investigation.

Verification tools and public records may be incomplete, delayed, inaccurate, unavailable, or limited by law.

You should not rely exclusively on Elite Asian Matchmaker to determine whether another person is suitable or safe. You remain responsible for your decisions, communications, meetings, and relationships.

11. Fees, Payments, Renewals, and Refunds

Fees, payment schedules, membership periods, renewal terms, cancellation terms, and refund eligibility will be disclosed in the applicable proposal, checkout page, invoice, order form, or service agreement.

You agree to:

• Provide accurate billing information;
• Pay all authorized fees when due;
• Maintain a valid payment method when recurring billing has been authorized;
• Pay applicable taxes and third-party charges; and
• Review the applicable cancellation and refund terms before purchasing.

Except where required by law, refunds are available only as expressly stated in the applicable written service agreement or purchase terms.

Failure to use, respond to, schedule, attend, or participate in available services does not automatically entitle you to a refund.

If a payment is declined, reversed, disputed, or overdue, we may pause or suspend services until the account is brought current.

A separate signed service agreement will control if it contains different payment, renewal, cancellation, or refund terms.

12. Appointments and Cancellations

You are responsible for attending scheduled consultations, interviews, coaching calls, and other appointments on time.

Appointment cancellation, rescheduling, missed-call, and late-arrival rules may be stated in your booking confirmation or service agreement.

We may reschedule an appointment due to staff availability, emergencies, technical issues, or other reasonable circumstances.

13. SMS Messaging Terms

By expressly opting into SMS communications, you agree to receive text messages from Elite Asian Matchmaker regarding:

• Inquiry follow-ups;
• Consultation confirmations;
• Appointment reminders;
• Rescheduling updates;
• Customer support;
• Matchmaking service communications; and
• Marketing messages when you have separately consented to receive them.

Consent to receive marketing text messages is not a condition of purchasing services.

Message frequency varies. Message and data rates may apply.

Reply STOP to cancel SMS communications. We may send one final confirmation message after processing your request. You will not receive further SMS messages unless you provide new consent.

Wireless carriers are not responsible for delayed or undelivered messages.

Mobile information and SMS opt-in consent will not be sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes. Information may be provided to messaging platforms, aggregators, and telecommunications providers only as necessary to deliver the messages you requested.

14. Email and Electronic Communications

By providing your email address or using the Website, you consent to receive electronic communications concerning your inquiry, appointments, transactions, account, profile, or services.

You may unsubscribe from marketing emails at any time. Administrative and transactional communications may still be sent when necessary to provide services or comply with legal obligations.

Electronic records, notices, disclosures, and signatures may satisfy legal writing and signature requirements to the extent permitted by law.

15. Website Content and Intellectual Property

The Website and its original content, branding, graphics, design, text, videos, questionnaires, service methods, training materials, databases, and other materials are owned by or licensed to Elite Asian Matchmaker and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable licence to access the Website for personal, lawful, non-commercial use.

Without written permission, you may not:

• Copy, reproduce, republish, distribute, sell, or commercially exploit Website content;
• Modify or create derivative works from our content;
• Use our trademarks, branding, or business name;
• Scrape, crawl, harvest, or systematically extract information;
• Reverse engineer Website technology;
• Remove copyright or proprietary notices; or
• Use the Website to develop or promote a competing service.

16. Third-Party Platforms and Services

The Website may integrate with or link to third-party services, including payment processors, calendars, video-conferencing platforms, customer relationship management systems, communication providers, analytics platforms, and social media websites.

We do not control and are not responsible for:

• Third-party availability;
• Their security or privacy practices;
• Content hosted by them;
• Their acts or omissions; or
• Transactions entered into directly with them.

Your use of a third-party platform may be subject to that provider's separate terms and policies.

17. Disclaimer of Warranties

To the fullest extent permitted by law, the Website and services are provided on an "as available" and "as is" basis.

Elite Asian Matchmaker does not warrant that:

• The Website will always be available, uninterrupted, secure, or error-free;
• Every profile or statement made by another person is accurate;
• Every client will be compatible with an available match;
• Introductions will result in mutual interest;
• Communications between clients will continue;
• Any person will act safely, honestly, respectfully, or lawfully; or
• The services will produce a particular personal, romantic, financial, or emotional outcome.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

18. Limitation of Liability

To the fullest extent permitted by law, Elite Asian Matchmaker and its owners, officers, employees, contractors, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of opportunity, emotional distress, loss of data, reputational damage, or loss of profits arising from the Website, services, an introduction, or another person's conduct.

Elite Asian Matchmaker is not responsible for the independent acts, statements, omissions, decisions, communications, or conduct of a client, potential match, Website visitor, or third party.

To the fullest extent permitted by law, our total liability arising from a claim relating to paid services will not exceed the amount you paid to Elite Asian Matchmaker for the specific service giving rise to the claim during the six months immediately preceding the event that created the claim.

These limitations do not apply where liability cannot legally be limited or excluded.

19. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Elite Asian Matchmaker and its owners, officers, employees, contractors, agents, and service providers from claims, losses, damages, liabilities, costs, and reasonable legal fees arising from:

• Your breach of these Terms;
• Inaccurate or misleading information you provide;
• Your unlawful or improper conduct;
• Your violation of another person's privacy, intellectual-property, or other rights;
• Content you submit;
• Your communications or meetings with another person; or
• Your misuse of the Website or services.

This section does not require indemnification for conduct that cannot legally be indemnified.

20. Suspension and Termination

We may restrict, suspend, or terminate access to the Website or services when:

• You violate these Terms or a service agreement;
• Payment is overdue;
• Information provided is materially false or misleading;
• You engage in abusive, threatening, fraudulent, unlawful, or unsafe conduct;
• Continuing the relationship could create a legal, safety, confidentiality, or reputational risk;
• You fail to cooperate with reasonable service requirements; or
• Termination is otherwise permitted under your service agreement.

Upon termination, your right to use the services ends immediately. Provisions concerning payments, confidentiality, intellectual property, disclaimers, liability, indemnification, and dispute resolution will survive termination where applicable.

21. Dispute Resolution

Before filing a formal claim, you agree to contact Elite Asian Matchmaker at support@eliteasianmatchmaker.com and provide a written description of the dispute and the requested resolution.

The parties will attempt in good faith to resolve the dispute informally for at least 30 days.

If the dispute is not resolved, either party may pursue remedies available under the applicable service agreement or law.

Unless a signed service agreement provides otherwise, these Terms and disputes arising from them will be governed by the laws of the State of California, without regard to conflict-of-laws principles.

Subject to any applicable arbitration agreement, legal proceedings must be brought in the state or federal courts serving Ventura County, California, and each party consents to the jurisdiction of those courts.

Nothing in this section prevents either party from seeking eligible relief in small-claims court or requesting emergency injunctive relief to protect safety, confidentiality, intellectual property, or data security.

22. Changes to the Website or Services

We may modify, replace, suspend, or discontinue any portion of the Website or services at any time, subject to applicable service agreements and law.

We do not guarantee that any feature, membership option, communication channel, or service method will remain available permanently.

23. Changes to These Terms

We may update these Terms to reflect changes in our services, business practices, technology, or legal obligations.

Updated Terms will be posted on this page with a revised Effective Date. Material changes may also be communicated through email, the Website, or another appropriate method.

Changes will not retroactively alter a signed service agreement unless permitted by that agreement or accepted by the parties.

24. General Provisions

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain effective.

No Waiver

Failure to enforce a provision does not waive our right to enforce it later.

Assignment

You may not transfer your rights or obligations under these Terms without our written consent. We may assign these Terms as part of a merger, restructuring, sale, or transfer of our business.

Entire Agreement

These Terms, the Privacy Policy, and any applicable service agreement constitute the entire agreement regarding the Website and services covered by them.
